Terms of use

Short, and meant to be read. These terms cover the website. They do not cover an engagement, which happens only under a separate signed agreement.

1. Who operates this site

This website is operated by XG Capital Strategies (XGCS), XG Capital Strategies LLC, California Secretary of State entity no. 202357810793, of 1500 Tacoma Way, Redwood City, California 94063. Contact: info@xgcapitalstrategies.com.

The investor briefing page for Kairos Dynamics is hosted here as well. Kairos Dynamics is a separate company in formation that licenses XGCS research; it is not a division or trading name of XGCS. These terms govern your use of the website in either case.

By using the site you accept these terms. If you do not, do not use it.

2. What this site is, and what it is not

The site describes research, methods, and services, and publishes analytical material including simulations, backtests, and null results. It is informational.

  • It is not investment, legal, tax, or accounting advice, and it is not tailored to your circumstances.
  • It is not a solicitation to buy or sell any security or other instrument.
  • It is not an offer to sell securities in XG Capital Strategies or in Kairos Dynamics.
  • It does not create a client, advisory, or fiduciary relationship. That begins only when a written agreement is signed by both sides.

The full position is set out in the important notices, which form part of these terms.

3. Content and intellectual property

The text, research, models, diagrams, data compilations, code, design, and marks on this site belong to XG Capital Strategies, or to Kairos Dynamics in the case of Kairos material and marks, or to the third parties credited in the source registers on the pages where their data appears.

You may read it, quote it with attribution and a link, and share the link. You may not republish it wholesale, present it as your own, sell it, or use it to train or fine-tune a model without written permission. Automated bulk collection — scraping the site, harvesting addresses, or systematically extracting the research material — is not permitted.

Nothing here transfers any right in the underlying research or systems.

4. Acceptable use

Do not:

  • submit the forms automatically, or attempt to defeat the anti-spam challenge or the submission rate limits;
  • probe, scan, or attempt to gain access to any part of the site or its API you are not offered;
  • impersonate anyone, or submit someone else's personal details;
  • interfere with the availability of the site for others;
  • use the site in a way that breaks the law where you are.

Genuine security research is welcome. Report what you find rather than continuing to test it, and do not access, alter, or exfiltrate anyone's data in the process.

5. What you send us

What you type into a form is handled as described in the privacy policy.

Treat a form as an unsecured first contact. Do not send confidential information, material non-public information, trade secrets, or another person's personal data through it. Unless we have signed a confidentiality agreement covering it, what you send is not treated as confidential — though it is not published, sold, or shared beyond the processors named in the privacy policy.

Submitting a form does not oblige us to reply, to take you on, to provide financing materials, or to keep a place open for you.

6. Availability, third-party links, and changes

The site is provided as it is, when it is available. Pages, forms, and the intake API can fail or be withdrawn without notice. If a form does not confirm receipt, assume it did not arrive and email us instead.

Some pages link to third-party sources and cite third-party data. Those sites are not ours, we do not control them, and linking to one is not an endorsement of it.

We may change the site and these terms. The current version is the one on this page, and the effective date above moves when it changes.

7. Warranties and liability

The site and its content are provided without warranty of any kind, express or implied, including as to accuracy, completeness, fitness for a particular purpose, or uninterrupted availability. Analytical material, including any figure, model, backtest, or simulation shown, may be wrong, out of date, or inapplicable to you.

To the fullest extent the law allows, XG Capital Strategies and Kairos Dynamics are not liable for any loss arising from use of, or reliance on, this site — including trading or investment losses, lost profit, and lost opportunity. You are responsible for your own decisions.

Nothing in these terms excludes liability that cannot lawfully be excluded.

A warranty disclaimer, liability cap, and consumer-law carve-outs have not yet been drafted. The wording above states the intent; how far it is enforceable under California law, and which consumer protections cannot be waived, has not been settled.

8. Governing law and disputes

These terms are governed by the laws of the State of California, without regard to its conflict-of-laws rules. Any dispute will be brought exclusively in the state or federal courts located in San Mateo County, California, to whose jurisdiction both parties consent. There is no agreement to arbitrate, and nothing here waives a jury trial.

If any part of these terms is unenforceable, the rest continues to apply.
